Terms of Service

These Terms of Service ("Terms") form a binding agreement between Deal Room Tech Computer Systems Designing - L.L.C("DealRoom", "we", "us") and each individual real estate broker ("you", "Member") who accesses or uses the DealRoom platform (the "Service"). By creating an account you confirm that you have read, understood and accept these Terms.

1. Nature of the Service

DealRoom is a closed, invitation-based cooperation network for real estate brokers licensed in the United Arab Emirates. Listings, inquiries and other content shared on the Service are made available only to other verified Members and are not published to the public, consumers or third-party portals.

Deal Room Tech Computer Systems Designing - L.L.C is purely a technology and software provider. It is not a licensed real estate brokerage, does not hold client funds, does not operate an escrow, does not represent buyers, sellers, landlords or tenants, is never a party to any real-estate transaction, does not negotiate on behalf of any Member or client, and does not take, share or collect any commission or fee from any deal arranged through or as a result of the Service. Any transaction, agency appointment, cooperation split, commission arrangement or other agreement is solely between the Members concerned and their respective clients. Members are exclusively responsible for complying with all real-estate, agency, AML, tax and advertising rules applicable to their conduct outside the Service.

2. Eligibility

• You must be at least 21 years old.
• You must hold a valid real estate broker licence issued by a UAE regulator.
• You must provide accurate personal, company and licence information and keep it up to date.
• Your account is subject to admin approval and may be suspended if your licence expires, is revoked or cannot be verified.
• One account per person. Accounts are personal and non-transferable.

3. Account and Verification

We may require documentary proof of your licence, employer authorisation and identity. Approval typically takes up to 24 hours. We may refuse, suspend or terminate any account at our sole discretion, including where verification fails or where information is misleading.

4. Subscription and Fees

Access to the Service requires a paid subscription: AED 260 per month, AED 1,170 for 6 months or AED 1,600 per year (no VAT is charged). Full pricing, renewal and cancellation terms are set out in our Subscription & Refunds Policy, which is incorporated into these Terms by reference.

5. Member Content

You retain ownership of the listings, photos, videos and other content you upload ("Member Content"). You grant Deal Room Tech Computer Systems Designing - L.L.C a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, adapt (for formatting only) and display your Member Content strictly for the purpose of operating the Service and making it available to other Members. This licence ends when you delete the content or your account, except for backups kept for a reasonable period.

You represent and warrant that:

• you own or have all necessary rights to the Member Content;
• the property is genuinely available on the terms stated;
• you have the owner's or landlord's authorisation to market it;
• the content does not infringe any third-party right or applicable law.

6. Confidentiality of the Network

Access to other Members' listings, inquiries, contact details and chats is granted solely for cooperation between licensed brokers. You must not republish, screenshot, forward, scrape, syndicate or otherwise disclose that content outside the Service, including to public property portals, social media, WhatsApp groups outside DealRoom, or clients (except in the ordinary course of a genuine cooperation deal). Breach entitles us to suspend your account immediately and to seek damages. See the Confidentiality Agreement for full terms.

7. Acceptable Use

You must comply with our Acceptable Use Policy. Prohibited conduct includes fake or duplicated listings, using another broker's identity, spam, harassment, scraping, reverse engineering, uploading malware, and any use that violates UAE law.

8. No Consumer Advertising

The Service is not a public advertising channel. Nothing on the Service constitutes an offer to any consumer. Members are responsible for ensuring that any downstream advertising they perform outside the Service complies with all applicable permit, licensing and marketing rules of the relevant UAE regulator.

8A. Emirate-specific rules (Abu Dhabi, Dubai and Ras Al Khaimah)

The Service is used by brokers in Abu Dhabi, Dubai and Ras Al Khaimah. You must hold a licence from the regulator of each emirate where you broker a property, and you must follow that emirate's rules for every listing, inquiry and deal you handle:

• Abu Dhabi: Abu Dhabi Law No. 3 of 2015 on the regulation of the real estate sector and its implementing regulations; registration and broker licensing with the Abu Dhabi Real Estate Centre (ADREC); Madhmoun listing permits for any advertising; and transactions registered through the DARI platform.
• Dubai: Dubai Law No. 7 of 2006 on real property registration, Law No. 13 of 2008 (interim real estate register / off-plan sales), Law No. 8 of 2007 on escrow accounts, Law No. 26 of 2007 (as amended) on landlord-tenant relations, and Regulation No. 85 of 2006 on the real estate brokers register; broker registration with the Dubai Land Department (DLD) and its Real Estate Regulatory Agency (RERA); and Trakheesi advertising permits for any listing advertised outside the Service.
• Ras Al Khaimah: the real estate laws and regulations of the Emirate of Ras Al Khaimah, including registration, broker licensing, off-plan and escrow requirements administered by the RAK Municipality Land & Properties Sector and any other competent RAK real estate authority.
• All emirates: UAE federal law, including Federal Decree-Law No. 20 of 2018 on anti-money laundering and combating the financing of terrorism (and its implementing regulations and any successor law), Federal Decree-Law No. 45 of 2021 on personal data protection, and federal consumer-protection and advertising rules.

Where the rules of these emirates differ, the rules of the emirate where the property is located apply to that property. Nothing on the Service replaces your own duty to check the current version of these laws with the relevant authority.

9. Intellectual Property

The Service, including its software, design, branding and content produced by Deal Room Tech Computer Systems Designing - L.L.C, is owned by Deal Room Tech Computer Systems Designing - L.L.C and protected by intellectual property laws. You are granted a limited, revocable, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. We do not verify, endorse or guarantee the accuracy of Member Content, the availability of properties, or the outcome of any cooperation. To the maximum extent permitted by law we disclaim all warranties, express or implied.

11. Limitation of Liability

To the maximum extent permitted by law, Deal Room Tech Computer Systems Designing - L.L.C's aggregate liability arising out of or in connection with the Service will not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental or lost-profit damages.

12. Indemnity

You will indemnify and hold harmless Deal Room Tech Computer Systems Designing - L.L.C, its directors, employees and agents against any claim, loss or expense arising from your Member Content, your breach of these Terms, your breach of confidentiality, or your violation of any law or third-party right.

13. Suspension and Termination

We may suspend or terminate your account without notice if you breach these Terms, if your licence lapses, if payment fails, or if we reasonably suspect fraud, abuse or a security risk. You may cancel your subscription at any time as described in the Subscription & Refunds Policy. On termination, your access to Member Content ends immediately.

14. Changes to the Terms

We may update these Terms from time to time. Material changes will be notified in the Service or by email. Continued use after the effective date constitutes acceptance.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi. The parties submit to the exclusive jurisdiction of the competent courts of Abu Dhabi for any dispute arising out of or in connection with these Terms.
